Sarda Proteins Ltd was incorporated in December 03, 1991. The company is mainly engaged in the distribution of refined oil, mustard oil and trading of Agro products like wheat, sesame seed, mustard seed, Guar seed and other edible products backed up with strong distribution network.The company had an opening paid up capital as on 1st April 2015 Rs. 2,43,48,500. The company issued a final notice during the year 201516 to holders of 16,96,500 partly paid shares of Rs. 5 each, out of which company received calls for 1,39,300 shares only. Therefore as per the provisions of Articles of Association the 15,57,200 partly paid equity shares were forfeited and paid up capital stood at Rs. 1,72,59,000 comprising of 17,25,900 Equity Shares of Rs. 10 each and a balance of Rs. 77,86,000 in Share Forfeiture Account.Ritika Vegetable Oil Private Limited, a company registered under the Companies Act, 1956 made a public announcement on April 03, 2019 to acquire 3,86,000 equity shares of Rs. 10/ each constituting 22.37% of the existing equity share capital along with Complete Control and Management of Sarda Proteins Ltd. Ritika Vegetable Oil Private Limited also filed a Detailed Public Statement on April 10, 2019. The Company had constituted a Committee of Independent Directors (IDC) in the interest of all stakeholders to provide their reasoned recommendation in respect of the offer by Ritika Vegetable Oil Private Limited. Further, the process of acquisition of the company has been completed in consonance with provisions of Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and the post open offer report dated July 19, 2019 is duly submitted with the recognized Stock Exchanges and SEBI.The Board of Directors at their meeting held on August 12, 2019 approved shifting of Registered Office of the Company from G1177 (A), Matsya Industrial Area, Alwar301030 (Rajasthan) to B536537, Matsya Industrial Area, Alwar 301030 (Rajasthan) which falls within the State of Rajasthan and within the same city.
